While I have liability insurance for my business, I can not remain a sole proprietorship?

I 1MM OBLIGATION insurance for my business. I see no point in incorporating keep my assets, there are also tax breaks or anything that make it worthwhile?

Tax exemptions are better for individual and the employer can avoid the double taxation that comes from the incorporation. Check your insurance policy, however, and ensure that it covers business. Most do not, unless you pay extra. You can also avoid double taxation, and obtain limited liability by forming the corporation and "S".
